About the deal
Founded in 1990, Exail Technologies (ex Groupe Gorgé) was historically organized into three main business segments, namely Drones & Systems, Engineering & Protection Systems (EPS) and 3D printing. Initiated in 2018, the strategic refocusing of the Group around the Drones & Systems activities has been implemented through several key stages: the divestment of some subsidiaries positioned in highly cyclical sectors (automotive, oil & gas), the distribution of Prodways Group shares (3D printing), the strengthening of ECA Group, and more recently the acquisition of iXblue – which doubled the size of Drones & Systems.
Exail Technologies has finalized its strategic refocus by divesting the EPS division, which includes three activities: security doors for nuclear power plants (Baumert subsidiary), Fire Protection (Vigians Protection Incendie subsidiary), and engineering and technology consulting (Seres Technologies).
What we did
Capitalmind Investec advised Gorgé SAS (majority shareholder of Exail Technologies) in the design and structuration of a tailor-made transaction. Capitalmind Investec has also negotiate and structure the management package, supervise lawyers preparing legal contracts (SPA, shareholder’s agreement, etc.) and supported Gorgé SAS in raising senior debt for this deal.
These are our 16th and 17th transactions on behalf of the Gorgé family, who Capitalmind Investec has been supporting since 2006.
