Capitalmind Investec has advised MBO+ on the sale of Cosmogen, an expert in beauty primary packaging, to Weinberg Capital Partners and BNP Paribas Développement
Founded in 1982 in Paris, Cosmogen specializes in application solutions for the beauty sector. With an innovation-driven and eco-design-focused DNA, Cosmogen has established itself as a leader in the design of technical applicators (tubes with applicators), brushes, and accessories for cosmetic brands. Its catalog features numerous patented products and customized solutions, addressing brands differentiation strategies and the growing interest in cosmetics rituals and new gestures. Cosmogen serves international clients in skincare, make-up, and haircare sectors, such as L’Oréal, Clarins, Caudalie, and Dior, as well as high-growth niche brands.
Under the leadership of Priscille Allais, CEO since 2019, Cosmogen has experienced strong organic growth, with a turnover doubling over the past three years to reach nearly €25m in 2024. Cosmogen, a purpose-driven company since 2022, employs more than 30 people across Paris, Asia, the United States, and Brazil.
After eight years of support, MBO+ (Cosmogen’s majority shareholder) sought a new partner to drive the next phase of Cosmogen’s growth. Following a structured sales process led by our teams, Weinberg Capital Partners, in partnership with BNP Paribas Développement, successfully demonstrated to MBO+ and the management team their ability to support the group’s development ambitions effectively.
What we did
Capitalmind Investec advised Cosmogen’s shareholders throughout this project:
- Deal preparation: define possible options, as well as the optimal timeline to maximize valuation, run preliminary discussions with potential partners ahead of the sales process to pre-select the most suitable industrial groups and financial partners to address the group’s development targets, assist the management in drafting their development plan, prepare marketing materials required to run discussions, prepare for due diligence, prepare a lenders’ education to secure takeover bids submitted by financial partners.
- Deal execution: set up & run a limited auction process with the partners carrying the most solid projects (solicitation of indicative offers, management meetings, DD monitoring, assistance in negotiations).
