Capitalmind Investec actively supported Groupe ADF during all the acquisition process: LOI, daily execution support during the Due Diligence phase hand-in-hand with the management, data-room and information exchange management, negotiation, legal documentation, transfer of customers’ contracts, mandatory social process, etc.

Capitalmind Investec played a key role in (i) being a mediator during negotiation and the drafting of the legal documentation and (ii) in dealing with the stakes specific to an asset deal.

About the deal

Polymont Maintenance Industrielle is specialized in providing industrial maintenance services in the Aeronotics industry. Generating €20m revenues, the activity employs 200 engineers and technicians located in 6 sites in France. The activity will join the Aeronautics & Defense division of Groupe ADF.

Spin-off from Gaz de France / Cofatech in 2007, Groupe ADF has become a national leader in industrial maintenance and engineering services towards blue chips customers in the Nuclear, Oil & Gas, Chemicals, Aeronautics and Materials Industries. Generating almost €300m revenues, Groupe ADF employs over 2,800 employees through 34 facilities in France and the Benelux.

The acquisition of Polymont Maintenance Industrielle enables Groupe ADF to reach 2 of its strategic objectives: support its growth plan in the Aeronautics sector (targeting to double revenues by 2020) and reinforce its geographical coverage, most notably in Western France and the Paris region.
