FACILITY SYSTEMS GmbH provides integrated and interdisciplinary property services in the commercial real estate sector with many years of experience in the industry and high level of expertise. With more than 750.000m2 managed commercial space and around 75 operating locations nationwide, the company is established in the German market and assumes the overall operator responsibility for the managed properties. In particular, the objectives of customer and user satisfaction, location optimization and marketing as well as sustainability are pursued with great emphasis. FACILITY SYSTEMS has an interdisciplinary and highly qualified team and has been certified several times.

HBB Hanseatische Betreuungs- und Beteiligungsgesellschaft mbH has been active as a project developer, owner, investor, and operator of real estate for over 50 years. This year, the volume of managed rental space has already reached around 1.3 million m² in the areas of center management, office properties, nursing homes, hotels, and flats.

Capitalmind acted as the exclusive financial advisor to the shareholders of FACILITY SYSTEMS GmbH on the sale of the company to HBB Hanseatische Betreuungs- und Beteiligungsgesellschaft mbH. 100% shares of FACILITY SYSTEMS were acquired by HBB. Together, HBB and FACILITY SYSTEMS want to continue their growth strategy of the past years.

What we did

Mapping out the process strategy and preparation of all marketing documents (teaser, information memorandum), preparing a long list of potentially interested parties, approach and education of potential buyers, preparation and coordination of due diligence process including data room and Q&A, advice on transaction structure, negotiation support of commercial deal parameters and Share Purchase Agreement.
