About the deal

Headquartered in the outskirts of Genoa,. Employing c. 100 persons, Controlli holds a strong footprint on its domestic market (c. 60% of Controlli is manufacturing HVAC control devices (mainly valves and actuators) for residential, commercial and industrial applicationsits sales) and supplies large OEM in the Rest of the World (including Schneider Electric). The decision was made by Schneider Electric to divest this operation through an MBO.

What we did

• While our teams were based in France, we successfully completed the disposal of an Italian company to an Italian management team backed by an Italian PE Fund
• We managed to tailor the deal so that the requirements of a very large organization could be acceptable to SmallCap PE funds and the management team
