About the deal

Founded in 1994, Benoit Ciné Distribution is the national leader in popcorn production (with a fully owned manufacturing facility) and distribution to cinemas. Benoit also distributes a range of snacks and drinks and offers custom-made equipment to its customers (major cinemas, theaters, stadiums…).

Supergroup is a food wholesaler, offering quality, profit-generating products in the confectionery, cookie, pastry, grocery and beverage sectors.

Logista France is the French subsidiary of the Logista Group, the leading distributor of products and services to convenience stores in Southern Europe. In France, Logista France markets and distributes some 28,000 essential everyday products (food, piping, dematerialized products, telephony, etc.) to more than 40,000 points of sale.

What we did

Capitalmind has assisted the buyers throughout the buy-out process, playing the role of a sparring partner: preliminary thinking on the buy-out strategy and on the key figures of the transaction, management of the due diligence process, coordination of the auditors and advisors, construction of a comprehensive business plan, drafting presentation materials to support the buyers’ discussions with the counterparties, organizing the carve-out and transition service agreements. We also advised the buyers on the deal tactics regarding the social process and the discussions with the sellers’ social representatives.
