What we did
We provided tactical and technical advisory during the acquisition: analysis of the project, preliminary discussions, valuation, structuring of the transaction, drafting of the letter of intent, management of due diligences, assistance in negotiations and legal documentation.
We also helped set up the necessary financing for the group’s acquisition and further development: a financing solution based on the support of the historic shareholders (including the Colcombet family, ACE Management and Garibaldi Participations), banks (LCL, Caisse d’Épargne Rhône-Alpes, BPI) and the PE firm Eiffel Investment for a Term Loan C.
About the deal
Founded more than 90 years ago, Tecalemit Aerospace is a fast-growing designer & manufacturer of pressurized aeronautics duct systems. Having worked on most of France’s civil, military and space programs over the last 30 years, the company is positioned on ‘future programs’ such as the LEAP engine and the A350. Its 400+ employees operate from an office in Toulouse, and from 5 complementary factories in Chaponost, Blois, Luceau, Casablanca and Tunis. The family-owned company has multiplied its turnover 10x over the last 15 years, reaching nearly 60 million euros in 2018.
With this acquisition of Daher’s ducting activities in France, Tecalemit Aerospace takes the first step in its strategic plan by securing an additional €25 million in revenues, and the skills of 153 additional employees. “The perspectives opened up with this merger promise many developments for the group’s teams and the creation of a French leader in its sector,” said Thierry and Franck Colcombet, President and CEO of Tecalemit Aerospace.
