About the deal

Headquartered in the Netherlands, Van Dam is an internationally recognized player in the manufacturing, installation and maintenance of fire and blast proof doors and walls for the Oil & Gas and Defence industries.

InterDam is one of Van Dam’s main competitors. It is backed by the Dutch private equity firm Value Enhancement Partners B.V. since 2017. The company mainly addresses the Oil & Gas and Offshore Wind Power markets

Founded in 1990, and listed on Euronext Paris, Groupe Gorgé is an independent group that specializes in high-tech industries. The group reported revenues of €275m in 2019.

Following this merger, Groupe Gorgé will remain a minority shareholder in the new entity, holding 15% of the shares.

This transaction aims to create the world leader in fire and blast proof doors and walls for people and equipment in extreme environments.

What we did

Capitalmind advised Groupe Gorgé during the entire merger process : organization and management of the reciprocal due diligence, valuation analysis and negotiation of the transaction parameters, deal structuring, negotiation of the new shareholders’ agreement and legal documentation.
