About the Deal

Capitalmind acted as exclusive financial advisor to the shareholders of i-SOLUTIONS Health on the sale of the healthcare IT specialist to Trill Impact, a Sweden-based private equity investor.

i-SOLUTIONS Health is a provider of hospital / laboratory / radiology and healthcare enterprise information systems. The company is an established brand on the German healthcare IT market and with more than 240 employees one of the largest independent healthcare software providers. The software supports physicians, nurses and other healthcare professionals in their daily work and helps to save time and costs while increasing patient safety. Almost the entire workflow in hospitals, laboratories or radiology practices is digitally reflected and supported.

Led by Trill Impact, i-SOLUTIONS is going to be merged with Meona Group, a provider of market-leading clinical software that supports the work processes and requirements of modern clinical practices. As a leading player in its field, the combined group will be well positioned to generate significant growth, leveraging the complementary strengths of the two businesses.

The previous majority shareholder, ARUBA Holding GmbH will continue to hold a minority interest in the company in the future while former minority shareholder Med 360° AG, will leave the group of shareholders as part of the transaction.

What we did

Running a competitive sales process. Mapping out the process strategy and preparation of all marketing documents (teaser, information memorandum), approach and education of domestic and international potential buyers with more than 60 interested parties involved, preparation and coordination of due diligence process including data room and Q&A, advice on transaction structure, negotiation support of commercial deal parameters and Share Purchase Agreement.
