Capitalmind has supported Osilog’s shareholders throughout the process: marketing materials preparation, business plan modelling with the CEO, screening and selection of the relevant strategic buyers through a competitive process with large foreign and local corporations, negotiations of terms and conditions of the deal.
Capitalmind has advised on and implemented a tailored structuring, where the management team has bought-out the company sponsored by an industrial player offering collaboration opportunities.
About the deal
Osilog is a French firm specialized in printing supplies merchanting and managed print services for large corporates and administrations. In 2015, the company recorded c. €30m in sales.
Capitalmind has been engaged to sell the company to an industrial buyer. The sellers entered exclusivity with CPRO after a competitive process. CPRO is a French group specialized in managed print services, with leading positions in South-Eastern France. CPRO generates c. €100m revenues.
Following discussions, the acquisition has been structured as a MBO, where key managers have brought their shares to a holding company, raised senior bank debt and have been supported by CPRO as a minority sponsor.
This tailored structuring is matching the objectives of the managers (create value and keep independence) while CPRO, which is not a direct competitor, will learn the Osilog business and keep motivated management on board.
