About the deal
Eurosérum is a French-based company with an expertise in whey drying and processing. With an annual volume of 300,000 tons, Eurosérum is the world largest producer of demineralised whey with applications in infant formula and food processing (notably bakery & pastry). The company operates 9 facilities in France and 1 in Stříbro, Czech Republic, which produces 15,000 tons of whey annually.
Eurosérum is fully-owned by Sodiaal since 2011, a €5.1bn revenue French dairy cooperative.
SODIAAL is the 1st French dairy cooperative. The complementary businesses of its subsidiaries allow the company to propose high-quality dairy ingredients (including whey and milk powders, butter, cream, cheese…) dedicated to many agrifood industries, and specific solutions for the professionals.
As a result of a strategic repositioning of its activities, driven by the desire to focus on high value-added nutritional ingredients, Eurosérum decided to dispose of its assets abroad and refocus on its French sites.
Eligo is a Czech company also engaged in the drying & processing of dairy products and which in addition to being locally anchored, has shown a relevant industrial project for the site.
What we did
Capitalmind assisted the client all along the disposal process: identification of carve-out issues, potential buyers pre-sounding, creation of the marketing documentation, approach of interested acquirers, management of the due diligence and assistance in negotiating the deal and the legal documentation.
